Anti-Corruption & Anti-Bribery Policy

At Assay Genie Ltd. (“Assay Genie”, “we”, “our” or “us”), we are committed to conducting business ethically, transparently and in full compliance with all applicable anti-bribery and anti-corruption laws. We maintain a zero-tolerance approach to bribery, corruption, fraud and other unethical business practices.

This policy applies to all employees, directors, officers, contractors, consultants, distributors, agents and any third parties acting on behalf of Assay Genie.

Our Commitment

Assay Genie is committed to:

  • Conducting all business activities honestly, fairly and with integrity.
  • Complying with all applicable anti-bribery and anti-corruption legislation in the jurisdictions where we operate.
  • Preventing bribery, corruption, facilitation payments and other improper business practices.
  • Promoting a culture of ethical decision-making and accountability.

Prohibited Conduct

No employee or representative of Assay Genie may:

  • Offer, promise, give, request or accept any bribe or improper payment.
  • Offer anything of value to improperly influence a business decision or obtain an unfair advantage.
  • Make facilitation payments or unofficial payments to government officials or other parties, except where legally required to protect an individual’s health or safety.
  • Engage in fraudulent, deceptive or dishonest business practices.
  • Conceal or misrepresent financial transactions.

These prohibitions apply regardless of whether the payment or benefit is made directly or through a third party.

Gifts and Hospitality

Reasonable business gifts and hospitality may be appropriate where they:

  • Are lawful and consistent with local regulations.
  • Are modest in value and infrequent.
  • Are given openly and transparently.
  • Are not intended to influence business decisions or create an obligation.

Cash or cash equivalents must never be offered or accepted as gifts.

Third Parties

We expect our suppliers, distributors, agents, consultants and business partners to uphold standards of integrity consistent with our own. Where appropriate, Assay Genie may conduct due diligence before entering into business relationships and reserves the right to terminate relationships where unethical conduct is identified.

Accurate Books and Records

Assay Genie maintains accurate and complete financial records and internal controls designed to ensure that all transactions are properly authorised, recorded and accounted for. False, misleading or incomplete accounting records are strictly prohibited.

Reporting Concerns

Employees and business partners are encouraged to report any suspected bribery, corruption, fraud or unethical conduct as soon as possible. Reports will be treated seriously and, where appropriate, investigated promptly and confidentially. Assay Genie will not tolerate retaliation against any individual who raises a genuine concern in good faith.

Compliance

Failure to comply with this policy may result in disciplinary action, termination of employment or contractual relationships and, where appropriate, referral to the relevant authorities.

Review

This policy will be reviewed periodically to ensure it remains effective, reflects best practices and complies with applicable legal and regulatory requirements.
